The PeriTrax Public Health Initiative

What is PeriTrax?

Definition    PeriTrax are “complete paths” or “all-encompassing journeys.”

PeriTrax Inc  is a Michigan Domestic Nonprofit Corporation whose purpose is:

● to increase community awareness of, and access to, sustainable facilities and materials related to preventative and restorative health

● to facilitate the design and implementation of branded, large-scaled functional infrastructures, in conjunction with other parties, that provide both unfettered and fee-based access to anyone visiting the sites

● to establish a public/private consortium to plan within, and utilize, the sites for functions related to community-wide improvements regarding preventative and restorative health

● to help build a sustainable national Sharing System that increases opportunities and augments funding for resolving the needs of individuals and nonprofits

PeriTrax is organized exclusively for altruistic purposes.  Specifically, we are organized exclusively for “charitable, religious, educational, and scientific purposes” for the public good, “including, for such purposes, the making of distributions to organizations that qualify as exempt organizations described under Section (501)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code.”

Upon dissolution, PeriTrax agrees to the following: “Assets will be distributed for one or more exempt purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government for a public purpose.”

(We filed Form 1023 with the IRS on February 18, 2024.  We have the understanding that, because the agency is understaffed, our 501 c3 status is pending as of November 5, 2024, and will continue to be so until our application is approved.)

A Lost Opportunity

PeriTrax Brush Park was the dream back in 2019.  This was the 22-acre site of the former Brewster projects.  It would have been the perfect place for a large park in downtown Detroit.

In fact, it was the last large green space, downtown, in the Motor City.

But the site was sold for $23 million near the beginning of the COVID-19 pandemic.  More private property is to be built in this area where needs for healthy, open public spaces exist.

In 2024, our team is more professionally diverse, so our plans for a healthier America are stronger.  We filed for 501(c3) status in February, seated the Interim Board in October, and ratified the bylaws that will steer this organization far into the future.

Our vision calls for the creation of large parks surrounded by healthy neighborhoods.  And we endeavor to do so both on our own and in collaboration with motivated community partners.

We are strong advocates for:

● truly affordable housing
● education
● public health
● service to the public good
● building a sustainable Sharing Culture
